What you are doing when you are incorporating?

• There are usually 7 parts to the Articles of Incorporation/Organization.

Part 1: Here you will state the Name of your Company.

• Will this company be a Mother company where it will own multiple companies?
• Will you be doing business across different industries?
• Do you want your name to describe what you do?
• Do you want your name tied to any specific industry. (e.g Bobs Tire Shop, Guys Plumbing)?
• Do yo want the option of changing industries?
• Will this name be your main operating name or will you do business in a different name like a DBA(Doing Business As)?

Usually General Name is the way to go unless you absolutely need to have a more descriptive name.

Part 2: This part confirms to the State that you will be doing LAWFUL business. You cannot file articles to do anything illegal. This part states that you will be doing business within the laws of your state.

Part 3: This part will list the company's initial agent of service of process also known as registered agent. This person will receive documents and lawsuits on behalf of the company. They will be the initial contact person for your company when it comes to legal documents and mail.

Part 4: This will list the Address of the Company getting incorporated/organized. This address can be a commercial address or if allowed a residential/virtual address.

Part 5:(Corporations) Only Corporations can issue stock. An LLC has members and the members hold interest in the company. Here you will list the type and number of shares of stock that will be issued.

Part 6:(Corpirations) Type of Corporation Whether S Corp or C Corp depending on what kind of business you are incorporating. Also states how many people will be initially holding stock.

Part 7: Name of the person Incorprating. This can be an individual or a company.

These articles will be sent to your states Secretary of State(SOS)along with any filing fees and Statement of Information for its Officers/Members. After your SOS has reviewed the documents they will record the articles and send them back filed and recorded. They will also give you a 7 digit corporate number or an Entity Number(LLC). They are recognizing you as a new entity doing business.
