EOS token distribution to begin on 26 June - Know the principles

Today morning I got an email from EOS saying that they have decided to start the crowdsale of the tokens on 26 of June 2017.

Token Distribution procrss

EOS Token distribution will be run entirely on Etherium blockchain. The distribution process will continue for a period of 341 days.
There will be 1 billion ERC-20 compatible tokens available in total.
Out of that 200 million tokens will be distributed during first five days. Another 700 million tokens will be distributed in 2 million increments every 23 hours thereafter. Lastly 100 million or 10% tokens will be reserved for block.one as the developer and cannot be traded or transferred on network for entire distribution period.

Keep in mind that token distribution is not available for US residents.

The Pricing

EOS token distribution approximates an auction and each token will be equal in price. The price will be determined by the highest bid in the given timeframe, i,e at the end of 5 day period and end of each 23 hour period. Tokens will be distributed on pro rata amongst all authorised purchased, based on total ether contributed during the period.

Distribution Principles

  1. Nobody should get something for nothing.
  2. Everyone should recieve a market determined price.
  3. Everyone should have an equal opportunity to participate.
  4. Developer incentives should be aligned.
  5. Economic disincentives for buying more than 50 percent of a distribution.
  6. Minimise transaction cost.

The EOS Token distribution has been designed to be fair based upon the logically consistent Principles.

Did I read this right. Token distribution is not for US Residents. Does this mean if I live in the US, I can not participate in this?

Yes... You read that right ...

Why is that, exactly? Is it due to regulation issues relating to "IPO"(sic)?
