All good stuff Jonny. Plenty to think about and negotiate when setting up a business. Is this a new business that you're setting up in S Africa or the UK (or general musings)?

A few other points to throw into the mix: consider thresholds for share ownership in terms of ability to exercise control (51%) or special resolutions (75%) plus appointment as a director can hold quite a lot of weight - these apply in the UK, need to check local rules. Also, share options can be a neat way of incentivising employees with (future) shares, again subject to local rules.
